These Terms of Service ("Terms") govern your access to and use of theWaiverAudit platform, including our web application, API, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
Limitation of Liability & No Legal Advice — Read Carefully
1. Administrative & Clerical Assistance Tool Only
WAIVERAUDIT IS AN AUTOMATED ADMINISTRATIVE DOCUMENT-AUDITING AND CLERICAL TEXT-MATCHING TOOL. WAIVERAUDIT IS NOT A LAW FIRM, TITLE COMPANY, ESCROW AGENT, FINANCIAL INSTITUTION, OR LICENSED CONSTRUCTION ATTORNEY, AND DOES NOT PROVIDE LEGAL, TAX, OR FINANCIAL ADVICE.
2. Informational Pre-Flight Purposes
The Service uses automated optical extraction and structured rules to compare billing amounts, through-dates, and standard compliance fields to assist users in identifying clerical errors. Audit reports, confidence scores, and compliance indicators are generated for internal administrative workflows and preliminary review purposes only. The Service does not warrant title clearance, guarantee legal enforceability under state law, or serve as a substitute for professional legal or title review.
3. User Responsibility Over Disbursements
You acknowledge that WaiverAudit does not authorize, approve, or execute payments. You retain sole discretion and responsibility over all payment authorizations, draw releases, accounting decisions, and compliance determinations. While WaiverAudit assists in pre-flight clerical verification, you are advised to consult a qualified construction attorney, title officer, or escrow professional regarding any flagged discrepancies, contested lien rights, or legal disputes.
4. Conversational AI & WaiverAudit AI Disclaimers
WaiverAudit AI (including all automated conversational assistants and support widgets) is provided strictly for platform navigation, general guidance, and preliminary informational purposes. AI-generated responses are produced by probabilistic language models, may contain inaccuracies, omissions, or out-of-date statutory interpretations ("hallucinations"), and must never be relied upon as legal advice, financial advice, or a binding substitute for licensed legal counsel. You must independently verify any critical statutory, contractual, or disbursement questions with a licensed professional.
5. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WAIVERAUDIT, ITS FOUNDERS, OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, IMPROPER PAYMENT RELEASES, MECHANICS' LIEN CLAIMS, TITLE DEFECTS, OR PROJECT DELAYS) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR RELIANCE ON THE SERVICE OR AI ASSISTANT OUTPUTS. IN NO EVENT SHALL WAIVERAUDIT'S TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO WAIVERAUDIT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).
1. Acceptance of Terms
By creating an account, purchasing a subscription or pass, or otherwise accessing the Service, you represent that you are at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent.
2. Description of Service
WaiverAudit provides an AI-powered document comparison tool that extracts and cross-references data from subcontractor invoices and statutory lien waivers. The Service outputs a structured audit report highlighting potential discrepancies in amounts, addresses, signatures, and other fields.
The Service is intended for general contractors, construction managers, project owners, and their authorized agents who wish to perform a preliminary, non-binding review of draw documentation.
3. Subscriptions, Passes, and Payments
Access to the Service beyond the one (1) complimentary trial audit credit granted upon new account registration requires either an active monthly subscription ("Standard GC Plan" or "Enterprise GC Plan") or a one-time "5-Audit Pass."
Standard GC Plan and Enterprise GC Plan are billed monthly at the rate displayed at checkout. Subscriptions renew automatically each billing period unless canceled prior to the renewal date.
5-Audit Pass grants five (5) non-transferable audit credits that do not expire. Credits are consumed one per successful audit completion.
All payments are processed by Stripe, Inc. By purchasing a plan, you also agree to Stripe's Terms of Service. WaiverAudit does not store payment card information.
4. Cancellation and Refunds
You may cancel your monthly subscription at any time through your account dashboard or by contacting support. Cancellation takes effect at the end of the current billing period; you will retain access until that date.
One-time 5-Audit Pass purchases are non-refundable once any credit has been consumed. If no credits have been used, refund requests submitted within 48 hours of purchase may be honored at our sole discretion.
We do not offer prorated refunds for partial subscription periods.

You waive any right to participate in a class-action lawsuit or class-wide arbitration.
